The intent of this paper is to discuss three melodic line scenarios and determine the business entities that will serve them best in their respective industries. In addition, separately business will severalise how best to control the business, taxation, adhere to employment laws and regulations, and address whatever possibly liability concerns that may arise. We will illustrate how each business can organize and be successful.
The first scenario involves Lou and Jose who externalize to start a restaurant and sports bar. Lou and Jose do not look at much money; however, they do have an investor. Miriam is a wealthy woman who has money to invest in a business. She does not have the time to devote to the business but would equivalent to receive a percentage of ownership from her investment. In this concomitant situation, it would be best for Lou, Jose, and Miriam to open their business as a limited rendership. In this limited partnership, Lou and Jose will act as general partners and manage the business and make the day-to-day decisions. As such, Lou and Jose will retain personal liability for partnership debt incurred by the business.
Miriam will act as a limited partner with no say in the day-to-day decisions or management.
In addition, Miriam will not be personally liable for debt beyond her investment in the business.
