1.1In the event that there is, with respect to any law of closure of the Shareholders in a General Meeting pertaining to enumerates set give away in [?] (the Reserved Resolutions):

(i)an equality of votes cast by DRS and DS-IFL or their representatives, or a proclamation passed by circulation; or

(ii)any steadiness which by law is required to be passed by much than a simple volume of the shareholders present and voting, does not generate the requisite vote, even though it receives a simple majority of the votes;

either caller may declare a tie-up (the Deadlock) in respect of such resolution (the Declaring company) for that particular matter by a written invoice to the some other companionship describing the issue and nature of the Deadlock and proposing the resolution thereof. After declaration of the Deadlock, the Parties shall negotiate and try to settle the matter within 30 (thirty) eld from the date of the written honoring of Deadlock.

2If upon expiry of the said 30 (thirty) days, the matter is still unresolved, the Declaring Party shall send a written notice of 60 (sixty) days to the other Party offering to deal all of the Shares of that other Party at the Fair Market Value. The other Party shall, within the aforesaid sixty day period, indicate whether it is involuntary to sell its Shares in the Company to the Declaring Party.
